Any employer that finds an error on a previously filed Form 941 files Form 941-X for that quarter, “File Form 941-X when you discover an error on a previously filed Form 941.” Use a separate Form 941-X for each quarter, and file it on its own rather than attached to a Form 941. You discover an error “when you have enough information to be able to correct it”, and that date goes on page 1.
Do not use Form 941-X when you never filed the Form 941: file the missing Form 941 instead. The exception is reclassified workers: an employer that filed no Forms 941 because it treated all workers as nonemployees files a Form 941 for each delinquent quarter marked “Misclassified Employees” with a Form 941-X attached (line 42). Form 943, 944 and 945 errors go on Form 943-X, 944-X and 945-X.
Aggregate filers (section 3504 agents, CPEOs and other third parties) identify themselves in the new Aggregate Return Filers Only section and, for agents and CPEOs, attach Schedule R (Form 941).

Due dates
| What | Due | Notes |
|---|---|---|
| Underreported tax found in Jan to Mar | April 30 | File and pay by the Form 941 due date for the discovery quarter |
| Underreported tax found in Apr to Jun | July 31 | Same rule; next business day if a weekend or holiday |
| Underreported tax found in Jul to Sep | October 31 | November 2 in 2026, because October 31 is a Saturday |
| Underreported tax found in Oct to Dec | January 31 | February 1 in 2027, because January 31 is a Sunday |
| Overreported tax, adjustment process | More than 90 days before the period of limitations ends | Filing in the first 2 months of a quarter gives the IRS time to post the credit |
| Overreported tax, claim process | Before the period of limitations ends | 3 years from the date Form 941 was filed or 2 years from payment, whichever is later |
| 2023 Forms 941 (example) | April 15, 2027 | End of the period of limitations, since returns filed early are treated as filed April 15, 2024 |
Deposits
Form 941-X is not a deposit form. Pay any amount owed on line 27 by the time you file, electronically where possible; you may not offset it with a credit shown on another Form 941-X. A credit from the adjustment process is applied on the first day of the Form 941 (or Form 944) period in which you file and goes on that return's “Total deposits” line.
Corrections do not change your deposit schedule: adjustments on Form 941-X do not affect the lookback period amounts. If you file a Form 941-X for underreported tax late (after the due date of the return for the discovery quarter), attach an amended Schedule B, or the IRS may assess an averaged FTD penalty.
Penalties
A correction of underreported tax is generally free of interest and of failure-to-pay and failure-to-deposit penalties if you file by the due date of the Form 941 for the quarter in which you discover the error, pay the line 27 amount when you file, enter the discovery date and explain the correction in detail. No correction is interest free if the issue was raised in an examination of a prior period, you knowingly underreported, or you already received a notice and demand or a section 7436 notice of determination.
Request abatement of assessed penalties or interest on Form 843, not on Form 941-X. Deposit penalties under IRC 6656 run at 2%, 5%, 10% and 15%, and unpaid trust fund taxes can lead to the trust fund recovery penalty.
Corrections
Adjustment or claim. Underreported only: adjustment process (line 1), pay when you file. Overreported only: adjustment process for a credit on the current return, or claim process (line 2) for a refund or abatement, except “If you file Form 941-X to correct overreported tax amounts in the last 90 days of a period of limitations, you must use the claim process.” Both directions on one quarter: one Form 941-X on line 1 if you want the net applied, or two forms (line 1 for the underreported amounts, line 2 for the overreported) if you want a refund.
Employees come first on overcollections. Before taking a credit or refund of employee social security and Medicare tax, repay or reimburse the employees (with written statements for prior years) or obtain their written consent, which must meet Rev. Proc. 2017-28. Without that you can recover only the employer share. A claim may be filed before repayment when the period of limitations is about to expire, but the IRS will not allow it until you repay and certify.
Income tax withholding. Within the calendar year you may correct withholding errors, and an overcollection only if you also repaid the employee that year. For a prior year, “Only transposition or math errors involving the inaccurate reporting of the amount withheld are administrative errors.” Using the wrong withholding table or treating a payment as nontaxable is not; the wages are still corrected on line 6 and on Form W-2c.
Correcting a Form 944 instead? Form 944-X, due for underreported tax by January 31 of the year after the year you discover the error, regardless of which return you file now.
Where it goes wrong
- Using Form 941-X for deposit problems. If the only errors are the line 1 employee count or the liabilities in Part 2 or on Schedule B, don't file Form 941-X; deposit allocation is fixed with an amended Schedule B under the Schedule B instructions, usually in response to a penalty notice.
- Column 2 that ignores earlier corrections. Column 2 is the amount as originally reported or as previously corrected, including IRS examination changes, and columns 1 and 2 are totals for all employees, not just the ones affected.
- Mixed underreported and overreported amounts on a claim. Line 2 is for overreported amounts only. When you want a refund and also have increases, file two forms: line 1 for the underreported amounts and line 2 for the overreported ones.
- Overcollected employee tax without repayment. Checking 4a or 5a without the statements on file, or claiming the employee share without consent. “You may not file a refund claim to correct federal income tax or Additional Medicare Tax actually withheld from employees.”
- Thin explanations. Line 43 must “describe the events that caused the underreported or overreported amounts”. A one-line note that payroll errors were found invites correspondence.
- Forgetting the W-2c. Line 3 certifies the W-2s and W-2cs are filed or will be. A Form 941-X that raises wages without a matching W-2c leaves the W-3 and the 941s out of balance in CAWR.
- Filing too early for COVID-era credits. A late sick and family leave credit for wages paid in 2026 is claimed on Form 941-X only after the Form 941 for the quarter is filed. Employee retention credit claims for the third and fourth quarters of 2021 filed after January 31, 2024 are barred by P.L. 119-21.
Inside the IRS: what happens to Form 941-X
Who handles it. The IRS does not process a 941-X with your quarterly return. IRM 3.11.13 says the X forms are “designed to be filed as a stand-alone return and must not be filed with an Employment Return,” and they go to Accounts Management. If you send an amended Form 941 that reports a tax increase instead, the IRS may make the change but writes to say that “in the future they must file the appropriate X form.”
Adjustment or claim, and what gets checked. For an overpayment, Part 1 asks you to choose the adjustment process or the claim process. If you check neither box, or both, on a decrease, the IRS will “make two attempts to contact the taxpayer by phone” and otherwise decides from the certifications you checked. A tax decrease missing a required certification is rejected: staff are told to “Use Letter 4384C to reject the claim and identify the missing information in the letter” (Letter 4384C). For a refund of only the employer share of FICA, the form must certify that you tried to repay or get consent from the employees. Without that, the IRS sends Letter 916C explaining that you must first write to each employee.
Interest-free adjustments. An underpayment is interest-free only if you file the 941-X “by the due date of the tax return for the tax period in which the error was ascertained.” “An error is considered ascertained when the employer has sufficient knowledge of the error to be able to correct it.” Enter the discovery date: on a tax increase, if the date is missing and cannot be obtained by phone, the IRS will “input the adjustment as a TC 290,” a regular adjustment rather than the interest-free TC 298. Additional tax “is required to be paid with the return”; if not, the late payment penalty applies, though “the penalty for filing late does not apply to these returns” (IRM 20.1.2.3.9).
Deposits and the ROFTL. A timely interest-free 941-X “isn’t subject to the monthly and semi-weekly deposit rules on the new adjusted tax amount” (IRM 20.1.4.21.5). “An amended record of federal tax liability (ROFTL) schedule is generally not required with an adjusted return.” You do need one to fix a missing or wrong original schedule, or when a decrease should reduce a deposit penalty already charged.
Limits. Withholding errors from a prior year can be fixed only for an administrative error (the amount withheld was right but reported wrong), IRC 3509 or an examination. Near the refund statute, a 941-X filed within 90 days of the expiration date is converted to a claim, and 941 returns and payments made by April 15 of the next year “are deemed received on April 15 of that following year” for that clock.
Notices about this form
Questions people ask about Form 941-X
Do we attach Form 941-X to the current quarter's Form 941?
No. File it separately, one per quarter corrected. The only time it travels with a Form 941 is when you are filing delinquent Forms 941 for misclassified employees.
We found an underpayment from last year. Will we owe interest?
Not if you file Form 941-X by the due date of the Form 941 for the quarter in which you found the error and pay with it. Example from the instructions: an error on a 2025 second quarter return found April 10, 2026 is filed and paid by July 31, 2026.
We overwithheld federal income tax from an employee last year. Can we fix it?
Only if it was an administrative error, meaning the amount on Form 941 does not match what you actually withheld. If you actually withheld the wrong amount, you cannot correct the withholding for a prior year; the employee claims the withholding on their own return.
How long do we have to claim a refund?
Within 3 years of the date the Form 941 was filed or 2 years from the date the tax was paid, whichever is later, with Forms 941 for a calendar year treated as filed on April 15 of the next year. In the last 90 days you must use the claim process.
Can we e-file Form 941-X?
Yes, through Modernized e-File (MeF). Paper filers mail to Cincinnati or Ogden depending on location; private delivery services use the Ogden street address.
Does Form 941-X fix a deposit penalty?
Not by itself. Deposit penalties turn on the liability record. With a tax decrease and an assessed FTD penalty, you may attach an amended Schedule B whose total equals the corrected tax.
